Service Agreement

This Service Agreement sets out the terms that apply to online courses, digital learning products, coaching services, live sessions, workshops and group programs provided by Agile Apothecary LLC (“Agile Apothecary”, “we”, “us”).

By purchasing or booking a service, you agree to the terms applicable to that service in this Service Agreement, together with our Privacy Policy, Cancellation & Refund Policy and any additional terms presented to you at checkout.

1. Online Courses and Digital Products

 
1.1 Course Access

Upon purchasing an online course, you will receive access to the course materials included with your purchase. Depending on the course, these may include video lessons, exercises, practice tests, downloadable materials and access to community features.

1.2 Access Period

Where a course is advertised as including lifetime access, this means access for as long as that course remains offered and supported by Agile Apothecary, subject to platform availability and these terms.

We may update, replace or discontinue course content or delivery platforms where reasonably necessary.

 

1.3 Course Money-Back Guarantee

Unless different refund terms are stated at checkout, eligible Agile Apothecary courses include a 14-day money-back guarantee.

To request a refund, you must contact us within 14 days of purchase and briefly explain why the course did not meet your expectations. We may ask you to complete at least one exercise or engage with a reasonable portion of the course before approving a satisfaction-based refund.

Any different refund terms displayed for a specific product at the time of purchase will take precedence over this general provision.

1.4 Certificates and LinkedIn Endorsements

Where offered, students who successfully complete a course may receive a certificate of completion.

LinkedIn skills endorsements may also be provided at our discretion where appropriate. An endorsement is not guaranteed by purchase or course completion.

1.5 Community Access

Some courses may include access to an online community or other interactive features.

Participants are expected to communicate respectfully and professionally. We reserve the right to restrict or remove access in cases of abusive, disruptive or inappropriate conduct.

2. Coaching Services

 
2.1 Nature of Coaching

Coaching is a collaborative process intended to support reflection, exploration, increased awareness and development.

Coaching outcomes depend on many factors, including your participation and circumstances. No particular outcome or result is guaranteed.

Coaching is not psychotherapy, counselling, medical care, legal or financial advice, and does not replace services provided by appropriately qualified professionals.

Unless explicitly agreed otherwise, coaching sessions are also not consulting, professional training or mentoring. For example, booking a coaching session does not include training in Agile, career certification preparation or consulting on a business problem.

2.2 Clarity Session

The Clarity Session is a 60-minute online one-to-one coaching session.

The $100 first-session offer is available once per person. Repeated bookings of the introductory offer are not permitted.

The Clarity Session is a complete coaching session and does not require you to purchase any further services.

 
2.3 Ongoing Coaching

If, after an initial session, both you and the coach believe that further coaching may be useful, ongoing coaching may be offered separately.

The format, frequency, duration and fees for ongoing coaching may vary depending on the engagement and will be communicated before you agree to continue.

You are under no obligation to purchase ongoing coaching.

2.4 Cancellation, Rescheduling and No-Shows

Unless different terms are expressly agreed for a particular engagement, coaching sessions may be cancelled or rescheduled up to 24 hours before the scheduled start time.

For cancellations or requests to change a session made less than 24 hours beforehand, the full session fee will normally be charged.

Where reasonably possible, we will try to accommodate a late rescheduling request, but alternative availability cannot be guaranteed.

If you do not attend a scheduled session without prior notice, the session will be considered provided and the fee will not be refunded.

2.5 Clarity Session Value Guarantee

If you attend the full Clarity Session and genuinely believe that the session provided no value, you may contact us after the session and explain what did not work for you.

Where the request meets the conditions of this guarantee, the $100 Clarity Session fee will be refunded within 7 business days.

This value guarantee is separate from the cancellation and no-show provisions above and does not apply to sessions that were not attended.

 

2.6 Client Participation

Coaching requires active participation. You remain responsible for your own decisions, actions and implementation of anything discussed during coaching.

The coach may ask questions, offer observations, invite reflection or suggest practices, but you remain responsible for deciding what is appropriate for you.

2.7 Suitability of Coaching

We reserve the right to decline or discontinue a coaching engagement where we reasonably believe that coaching is not appropriate for the client's needs, that another type of professional support would be more suitable, or that an effective coaching relationship cannot reasonably be maintained.

Where appropriate, we may suggest that you seek another form of professional support.

3. Live Sessions, Workshops and Group Programs

3.1 Nature of Live Group Services

Agile Apothecary may offer live educational, consultative or facilitated services, including clinics, workshops, group sessions and learning programs.

These services are intended to support learning, discussion, reflection and practical problem-solving. They do not guarantee any particular professional, organizational, financial, career or other outcome.

Information, examples, observations and suggestions shared during a session are provided for educational and general consultative purposes. Participants remain solely responsible for evaluating what is appropriate in their own circumstances and for any decisions or actions they take following a session.

3.2 Agile Clinic

The Agile Clinic is a live online small-group session focused on real-world challenges experienced by Agile and change practitioners.

Sessions may include examples from Agile Apothecary's experience, participant-submitted situations, group discussion and questions. The exact content of each session may vary depending on the participants and situations discussed.

Submitting a question or case does not guarantee that it will be discussed during the session.

3.3 Participant Information and Confidentiality

Participants may discuss situations involving their workplaces, colleagues or other third parties. You are responsible for deciding what information you choose to share and should avoid disclosing confidential, proprietary or personally identifying information that you are not authorised to disclose.

Participants are expected to respect the privacy of others and not reproduce, publish or share personal or confidential information disclosed by other participants during a group session.

Because group sessions involve other participants, Agile Apothecary cannot guarantee that other participants will maintain confidentiality.

 

3.4 Recording

Where a live session is recorded, participants will be informed. Recordings may be used for internal administration, review and service improvement as described in our Privacy Policy.

Any use of identifiable participant contributions for public, promotional or separately distributed educational purposes will require additional permission where appropriate.

3.5 Conduct and Participation

Participants are expected to engage respectfully and professionally. We reserve the right to remove a participant from a live or group service where their behaviour is abusive, discriminatory, threatening, seriously disruptive or creates an unreasonable risk to other participants or the session.

Removal for serious misconduct does not automatically entitle the participant to a refund.

3.6 Cancellation, Rescheduling and No-Shows

Unless different terms are stated at checkout, cancellation and rescheduling terms for live sessions, workshops and group programs are set out in our Cancellation & Refund Policy and any product-specific terms presented at booking.

For the Agile Clinic, participants may cancel up to 48 hours before the scheduled start time for a full refund. Requests to move to another scheduled Clinic may be accommodated where space is available. Cancellations made less than 48 hours before the session and no-shows are non-refundable.

If Agile Apothecary cancels a scheduled Agile Clinic, participants will be offered either a full refund or, where available, the option to move their booking to another session. If a session must be rescheduled, participants who cannot attend the new time may request a full refund.

3.7 Included Digital Access

Where a live service includes temporary access to online courses or other digital materials, the access period and included content will be stated in the offer. Access ends automatically at the end of the stated period unless otherwise specified.

Course availability and use remain subject to the provisions of Section 1 and these terms.

4. Confidentiality and Session Information

Coaching conversations are treated as confidential, subject to applicable law and any exceptions described in our Privacy Policy.

In connection with coaching and other live services, we may use service providers and secure technology, including AI-assisted note-taking or information-processing tools, to support session administration, organise notes and prepare follow-up materials.

Where AI-assisted note-taking or similar processing is optional, you may request before your session that it not be used.

Further information about how personal information is collected, processed, stored and shared is provided in our Privacy Policy.

5. Follow-Up Materials

Where applicable or requested, we may provide a brief follow-up communication summarising insights, possible next steps, practices or other matters discussed during a coaching session or other live service.

Any such materials are provided for your personal use and do not constitute medical, legal, financial or other regulated professional advice.

6. Intellectual Property

Course materials, exercises, videos, texts, graphics, frameworks and other materials provided by Agile Apothecary remain the intellectual property of Agile Apothecary or their respective rights holders unless stated otherwise.

Purchasing a course or other service gives you a personal, non-transferable right to use any materials provided to you as part of that purchase for your own personal or professional learning purposes.

You may not reproduce, distribute, resell, publish or commercially exploit these materials without permission.

 

7. Privacy and Personal Data

We process personal information in accordance with applicable privacy laws and our Privacy Policy.

Our Privacy Policy explains what information we collect, why we collect it, the service providers we may use, how information is stored and processed, and the rights available to you.

8. Payments and Third-Party Services

Payments, bookings, video conferencing, course delivery and other aspects of our services may be facilitated by third-party service providers.

Your use of those services may also be subject to the relevant provider's terms and privacy practices.

Any applicable price, currency and material purchase conditions will be displayed before you complete your purchase.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Agile Apothecary will not be liable for indirect, incidental, special or consequential losses arising from the use of our services or materials, including loss of profits, business opportunities or data.

Where liability cannot lawfully be excluded, Agile Apothecary's total liability relating to a particular service will not exceed the amount paid for that service, except where a different limitation is required by applicable law.

Nothing in this Agreement excludes or limits any liability that cannot legally be excluded or limited.

10. Changes to Services and Terms

We may update our services, course content and these terms from time to time.

Material changes to this Service Agreement will generally apply to future purchases and bookings unless otherwise required by law or expressly agreed with you.

Changes will not retroactively remove material rights associated with a completed purchase except where permitted or required by applicable law.
